BINDING AGREEMENT

These Terms and Conditions constitute a legally binding agreement between you and Neon Strike. By accessing our website, engaging our services, or entering into any agreement with us, you acknowledge that you have read, understood, and agree to be bound by these terms.

This indemnification obligation includes reasonable attorney fees and costs. We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

AGE RESTRICTIONS AND REQUIREMENTS

FORCE MAJEURE

Neon Strike shall not be liable for any failure or delay in performing obligations under these terms when such failure or delay is caused by circumstances beyond our reasonable control, including:

▸ War, terrorism, or civil unrest
▸ Government actions or regulations

▸ Internet or telecommunications failures
▸ Power outages or equipment failures
▸ Labor disputes or strikes

During such events, our obligations will be suspended for the duration of the force majeure event, and we will not be liable for any resulting delays or failures.

GOVERNING LAW AND JURISDICTION

Applicable Law

These Terms and Conditions shall be governed by and construed in accordance with applicable international commercial laws, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Dispute Resolution

Any disputes arising from these terms shall be resolved through the following process:

1. Informal Negotiation: Parties agree to attempt good-faith resolution through direct communication for at least 30 days
2. Mediation: If informal resolution fails, parties agree to participate in mediation before an agreed-upon neutral mediator

Class Action Waiver

To the extent permitted by law, you agree that disputes will be resolved on an individual basis. You waive the right to participate in class actions, class arbitrations, or representative proceedings against Neon Strike.

GENERAL PROVISIONS

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Terms of Service, and any service-specific agreements, constitute the entire agreement between you and Neon Strike. They supersede all prior agreements, understandings, and communications.

Severability

If any provision of these terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

Assignment

You may not assign, transfer, or delegate these terms or your obligations without our prior written consent. We may freely assign these terms. Any attempted assignment in violation of this provision is void.

Relationship of Parties

Nothing in these terms creates a partnership, joint venture, agency, or employment relationship between you and Neon Strike. You are an independent contractor with no authority to bind or represent us.

Survival

Provisions that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

All notices under these terms must be in writing and sent to the contact information provided. Notices to you may be sent to the email address you provided and are deemed received upon sending.

Modifications

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated by updating the "Last Updated" date and posting revised terms on our website. Your continued use after changes constitutes acceptance.
